Terms and Conditions for Shopper Assist

These Terms and Conditions ("Terms") are a legal agreement between you and Shopper Assist, LLC ("we," "us," or "our"), a New York limited liability company, governing your use of the Shopper Assist mobile application (the "App"). By downloading, accessing, or using the App, you agree to these Terms. If you do not agree, do not use the App.
1. What the App Does
The App lets you scan a product's barcode, photograph the front of a package, search a product or company by name, enter a produce sticker code, choose a screenshot of a shopping cart or order, or enter a vehicle identification number (VIN) to view:
- A political-involvement indicator for the company that makes the product: whether, based on publicly disclosed records, it is investing substantial financial resources to influence federal or state policy, legislation, or government regulations. It is built from corporate PAC contributions and the party of each recipient, federal lobbying spending and the issues lobbied, giving to Super PACs, state-level campaign giving, and, for some companies, a short list of documented public actions with a link to the primary source
- Publicly available product safety information: label ingredients checked against a published watch list, and recall notices from the FDA, the Consumer Product Safety Commission and NHTSA
- User-submitted product reviews
- Nutrition information, compared against thresholds you configure yourself
The App covers packaged goods, cosmetics and household products, books, medicines and medical supplies, fresh produce sold by sticker code, basic foods sold by kind (such as meat, eggs and milk), and cars. Where a product isn't recognized, you may choose to send a photo of it to our review queue so it can be added; where a product has no ingredient list on file, you may photograph its ingredient panel so the App can rate it. When you choose a cart screenshot, the App reads the item names on your device and looks each one up; matches are made by name and may be wrong, so check the product page before relying on one.
An optional Political tab (switched on in Profile) shows, for federal candidates, the contributions received from the corporate PACs the App tracks (including leadership PACs they sponsor), the candidate's own reported fundraising totals, independent expenditures for and against the candidate, and, for sitting members of Congress, their committee assignments — all from public Federal Election Commission filings and public congressional records. For state and local candidates and sitting officials it shows the contributions received from the companies the App tracks, from public state campaign-finance records, with who currently holds office taken from the Open States project and Wikidata. It also lists corporate PACs and what each gave, and can flag money from companies controlled from countries you choose to highlight, using the ownership records described in Section 5.
A My Shopping Impact page sums, for the products you mark as purchased, the political giving of their makers from the same records. Your answers stay on your device and can be reset at any time.
The App is an informational tool. It does not recommend, endorse, or advise you to buy or avoid any product, company, or brand. All purchasing decisions are yours alone.
2. Eligibility
You must be at least 13 years old to use the App. The App is not directed to children under 13, and we do not knowingly collect information from them. If you are between 13 and the age of majority in your jurisdiction, you represent that a parent or guardian has reviewed and agreed to these Terms on your behalf.
3. No Accounts
The App has no user accounts and never asks you to create a login. Subscriptions are tied to your Apple ID or Google account. Reviews and photos you submit are associated with a random identifier generated on your device, not with your identity.
4. Subscription, Free Trial, and Billing
- Free trial. The App offers a 7-day free trial of premium features.
- Auto-renewing subscription. Unless canceled before the trial ends, your subscription automatically converts to a paid, auto-renewing plan (monthly or annual, depending on your selection) at the price displayed at the time of purchase.
- Billing. Subscriptions are billed through the Apple App Store or Google Play, depending on your device, and your subscription status is verified through RevenueCat, our subscription-management provider. We do not process or store your payment card information directly — Apple or Google handles billing under their own terms.
- Renewal. Your payment method will be charged for renewal within 24 hours before the end of the current period, unless you cancel at least 24 hours before that period ends.
- Canceling. You can manage or cancel your subscription at any time through your Apple ID or Google Play account settings. Canceling stops future renewals but does not refund the current paid period or any unused portion of the trial, except where required by law or platform policy.
- Price changes. If we change subscription pricing, we will provide notice as required by applicable law and by Apple's or Google's policies before the new price applies to you.
5. Data Sources and Accuracy Disclaimer
The App displays information drawn from public and third-party sources, including but not limited to federal campaign finance disclosures (Federal Election Commission records), Senate Lobbying Disclosure Act filings, state campaign-finance records, rosters of officeholders from the Open States project and Wikidata, SEC and SAM.gov company filings, Wikidata, product safety and recall databases (FDA, Consumer Product Safety Commission, NHTSA), community-maintained and commercial product databases, USDA nutrition data, the IFPS produce-code list, and user-submitted reviews. The Low / Moderate / High indicator for companies, the Low / Moderate / High / Exceptional indicator for candidates (or "no data" when nothing is on file), the Safety rating and the Nutrition rating are our own summaries of that data, produced by the rules described in the App's About page; the "notable actions" shown for some companies are short factual summaries written by us with a link to the underlying public record.
We do not independently verify, and cannot guarantee the accuracy, completeness, timeliness, or reliability of, any information displayed in the App. Public databases update on their own schedules and can contain errors, gaps, or delays. Political data reflects disclosed, publicly filed contributions, lobbying reports and state records as of the date retrieved and may not reflect a company's full political activity, current ownership, or internal policies; brand-to-parent-company matches, and the country a company is controlled from, come from public records and can be out of date; an official's page may combine records filed under the official's own name and under a committee named for them. Lobbying figures are amounts spent on registered lobbyists, not donations. A Low indicator can mean an absence of findings rather than a confirmed absence of activity. Recall and safety data may not reflect the most recent developments. Nutrition data is sourced from crowd-sourced and public databases and may not match a specific product's current packaging or formulation.
You should independently verify any information before relying on it for an important decision, including decisions related to health, safety, or purchasing. The App is not a substitute for reading a product's actual label, consulting the manufacturer directly, or consulting a qualified professional (e.g., a physician or registered dietitian) for medical or nutrition decisions.
6. No Political Endorsement
Shopper Assist, LLC does not endorse any political party, candidate, or cause, and the App's display of political-involvement information — including the Low / Moderate / High / Exceptional indicators, party breakdowns, issues lobbied, notable actions and the Candidates tab (contributions received, fundraising totals, outside spending and committee assignments) — is not intended as, and should not be understood as, an endorsement or condemnation of any product, company, or viewpoint. The indicator measures the amount of publicly disclosed spending under the rule described in the App, not the merit of any position. The App presents factual, publicly disclosed information to let you draw your own conclusions.
7. User-Submitted Content
The App lets you submit reviews and ratings, report other users' reviews, and send photos of unrecognized products ("User Content"):
- You retain ownership of your User Content, but grant us a worldwide, royalty-free, non-exclusive license to host, display, reproduce, and distribute reviews and ratings within the App and in connection with promoting the App, and to use product photos you send to identify and add the product, including, after we have reviewed a photo, contributing it with the product's name, brand and barcode to the Open Food Facts family of public databases under their open licences (currently the Open Database License for data and Creative Commons Attribution-ShareAlike for photos). Photos are never shown to other users in the App and are deleted from our server once reviewed or after 90 days.
- Photos must show only the product. Do not include people, license plates, documents or other personal information.
- You are solely responsible for your User Content. You represent that it is accurate to your knowledge, does not infringe anyone's rights, and does not violate any law.
- We may, but are not obligated to, remove or refuse to display User Content that we believe violates these Terms, is false, abusive, or otherwise objectionable, at our sole discretion.
- We do not endorse and are not responsible for the accuracy of any User Content.
8. Prohibited Uses
You agree not to:
- Use the App for any unlawful purpose or in violation of these Terms
- Attempt to reverse-engineer, decompile, or scrape the App or its underlying data feeds beyond normal use
- Submit false, misleading, defamatory, or harassing User Content
- Interfere with or disrupt the App's operation or servers
- Use automated means (bots, scripts) to access the App without our written permission
9. Intellectual Property
The App, including its design, text, graphics, logos, and underlying software (but excluding third-party data and User Content), is owned by Shopper Assist, LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use, subject to these Terms.
10. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION DISPLAYED IS ACCURATE OR COMPLETE.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SHOPPER ASSIST, LLC AND ITS MEMBER, MANAGER, AND ANY CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP, OR YOUR RELIANCE ON ANY INFORMATION DISPLAYED IN IT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE APP SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $50.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless Shopper Assist, LLC and its member and manager from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your User Content, or your misuse of the App.
13. Termination
We may suspend or terminate your access to the App at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to us, other users, or third parties. You may stop using the App and cancel your subscription at any time as described in Section 4.
14. Changes to the App or These Terms
We may modify, suspend, or discontinue the App, in whole or in part, at any time. We may update these Terms from time to time; material changes will be communicated through the App or by other reasonable means before they take effect. Continued use of the App after changes take effect constitutes acceptance of the revised Terms.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
15.1 Agreement to Arbitrate. You and Shopper Assist, LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the App (a "Claim") will be resolved by binding, individual arbitration, rather than in court, except as set out below. This agreement to arbitrate is governed by the Federal Arbitration Act.
15.2 Class Action Waiver. YOU AND SHOPPER ASSIST, LLC EACH AGREE THAT ANY ARBITRATION OR PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not combine your Claim with any other person's Claim without the written consent of all parties.
15.3 Arbitration Procedure. Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. Arbitration will take place in Kings County, New York, or another mutually agreed location, or may be conducted by phone, video, or in writing at your election for claims under $10,000. Shopper Assist, LLC will pay all AAA filing, administration, and arbitrator fees for claims under $10,000, unless the arbitrator finds your claim frivolous. Each party bears its own attorneys' fees unless the arbitrator awards fees as provided by applicable law.
15.4 Delegation. Any dispute about whether a Claim is subject to arbitration, or about the validity or scope of this arbitration agreement, will itself be decided by the arbitrator, not a court.
15.5 Exceptions. Either party may instead bring an individual claim in small claims court if it qualifies. Either party may also seek emergency injunctive relief in court to prevent unauthorized use or infringement of intellectual property, pending the outcome of arbitration.
15.6 Right to Opt Out. You may opt out of this arbitration agreement by emailing hello@getshopperassist.com within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration. If you opt out, disputes will instead be resolved in the state or federal courts located in Kings County, New York, and you consent to the exclusive jurisdiction of those courts, and Sections 15.1–15.4 above will not apply to you.
15.7 Severability of This Section. If the class action waiver in Section 15.2 is found unenforceable, the remainder of this Section 15 remains in effect, and any class, consolidated, or representative claim must proceed in court rather than arbitration. If any other part of this Section 15 is found unenforceable, the remainder still applies to the fullest extent possible.
16. Apple and Google Terms
If you downloaded the App from the Apple App Store or Google Play, you also agree to that platform's standard end-user terms, which apply in addition to these Terms. In case of conflict specifically regarding platform billing, refunds, or account management, the platform's terms and processes control.
17. Severability and Entire Agreement
If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the App.
